Intellectual Property You retain ownership of all materials you provide We retain ownership of pre-existing intellectual property and tools Deliverables are licensed to you on a non-exclusive, non-transferable basis upon full payment

6. Confidentiality Both parties agree to keep all confidential information private, including client data, strategies, trade secrets, and non-public details, for a period of 3 years following termination.

7. Warranties & Disclaimers We warrant services will be delivered with reasonable skill and care. However, we do not guarantee specific marketing outcomes (e.g. traffic increases, revenue, rankings). You acknowledge that marketing results vary depending on factors outside our control.

8. Limitation of Liability Our total liability is capped at the fees paid by you in the 12 months prior to the claim We are not liable for indirect or consequential losses Nothing in these Terms limits liability for death or personal injury caused by negligence

9. Termination Either party may terminate with 30 days’ written notice, or immediately in the case of: Breach of contract Non-payment Insolvency Upon termination, you remain liable for services delivered up to that date.

10. Force Majeure We are not liable for failure to deliver services due to causes beyond our reasonable control (e.g. natural disasters, war, internet outages, legal restrictions).

11. Governing Law These Terms are governed by the laws of England & Wales. Disputes shall be resolved through negotiation, and if necessary, legal proceedings in English courts.
